END USER LICENSE AGREEMENT

IMPORTANT: BY INSTALLING, DOWNLOADING, COPYING, OR OTHERWISE USING ANY SOFTWARE PRODUCT DEVELOPED BY ENTERTAINMENT IT, INC. OR ITS SUBSIDIARIES, YOU AGREE TO BE BOUND BY THIS END USER LICENSE AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.


1. Scope

This End User License Agreement ("EULA") applies to all software products developed, published, or distributed by Entertainment IT, Inc. and its subsidiaries ("Company"), including but not limited to Timer Pro, HyperDeck Backup, Corvo, and any future products (collectively, "Software"). Individual products may have supplemental license terms that are incorporated by reference.

2. Definitions

  • "Company" means Entertainment IT, Inc., a Florida corporation, and its subsidiaries, affiliates, and successors.
  • "Software" means any software application, tool, or service developed by the Company, including desktop applications, web applications, mobile applications, APIs, documentation, updates, and related materials.
  • "License Key" means the unique code that activates and authorizes use of the Software.
  • "Machine" means a single computer, server, or device on which the Software is installed or activated.
  • "Subscription" means the paid license term granting access to the Software.

3. License Grant

Subject to this EULA and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software during your Subscription term on the number of Machines specified by your license type.

This license permits you to:

  • Install and use the Software on authorized Machines
  • Use web-based and network features included in your license type
  • Receive updates during your Subscription term
  • Use the Software for personal, commercial, and business purposes

4. License Restrictions

You may NOT:

  • Copy, reproduce, modify, adapt, or create derivative works of the Software
  • Reverse engineer, decompile, disassemble, or attempt to derive source code
  • Rent, lease, lend, sell, sublicense, distribute, or transfer the Software
  • Remove, alter, or obscure any proprietary notices, labels, or branding
  • Use the Software to develop competing products or services
  • Use any artificial intelligence, machine learning, automated tool, or similar technology to analyze, copy, replicate, reverse engineer, or create derivative works of the Software, its user interface, its functionality, its code, or any part thereof
  • Feed, input, or provide any part of the Software, its source code, object code, documentation, designs, user interface elements, workflows, algorithms, or outputs to any AI system, large language model, code generation tool, neural network, or automated system for the purpose of replication, analysis, training, or creating competing products
  • Use automated scraping, crawling, or data extraction tools to collect information from or about the Software
  • Exceed Machine activation limits of your License Key
  • Share, publish, or distribute License Keys
  • Circumvent licensing, security, or access control mechanisms
  • Use the Software in violation of any applicable law

5. Intellectual Property

5.1 Company Ownership

The Software, including all source code, object code, algorithms, user interfaces, designs, graphics, icons, audio elements, documentation, trademarks, trade names, trade secrets, patents, and copyrights, is and remains the exclusive property of Entertainment IT, Inc. and its licensors. This EULA does not grant any ownership rights. All rights not expressly granted are reserved.

5.2 No Transfer of Ownership

This EULA constitutes a license to use, not a sale of, the Software. The Software is protected by United States and international intellectual property laws.

5.3 Feedback

Any suggestions, feedback, or ideas you provide regarding the Software become the property of the Company, which may use them without restriction or compensation.

6. Machine Activation

  • Each License Key authorizes a specific number of Machines as determined by license type
  • You may release and reassign Machine activations through the License Portal or within the Software
  • The Company may deactivate Machines that violate this EULA
  • License Keys are confidential and must not be shared or published

7. Subscription and Renewal

  • Subscriptions are billed annually and renew automatically unless cancelled
  • Cancellation stops future renewals; the license remains active through the current paid period
  • The Company may change pricing with at least thirty (30) days notice before renewal
  • Free trials do not automatically convert to paid subscriptions

8. Updates

The Company may provide updates, patches, or new versions at its discretion. Updates may be required for continued use and may modify features. By using the Software, you consent to receiving updates.

9. Privacy

Your use of the Software is governed by the Company's Privacy Policy at https://entertainmentit.co/privacy.

10. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTERTAINMENT IT, INC. AND ITS SUBSIDIARIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Entertainment IT, Inc., its subsidiaries, officers, directors, employees, and agents from any claims arising from your use of the Software or violation of this EULA.

13. Termination

The Company may terminate this EULA immediately if you breach any term. Upon termination, all licenses cease and you must uninstall the Software and cease using all License Keys. Sections 4, 5, 10, 11, 12, 14, and 15 survive termination.

14. Dispute Resolution

  • Informal resolution first: Contact support@entertainmentit.co for thirty (30) days
  • Binding arbitration: Under AAA rules, conducted in the State of Florida
  • Court proceedings: If arbitration is inapplicable, exclusively in Florida state or federal courts
  • Class action waiver: All disputes resolved individually; no class actions

15. General Provisions

  • Governing Law: State of Florida, United States
  • Entire Agreement: This EULA, Terms of Service, and Privacy Policy constitute the complete agreement
  • Severability: Invalid provisions do not affect remaining provisions
  • Assignment: You may not assign; the Company may assign freely
  • Export Compliance: You agree to comply with all export control laws
